## PART I — TERMS OF SERVICE (USER AGREEMENT)
---
### 1. Introduction & Acceptance
Welcome to Esohor ("we", "us", "our", "the Platform"). By accessing or using esohor.com — including its social features, e-commerce features, or any other service offered on the Platform — you ("you", "the user") agree to be fully bound by these Terms of Service ("Terms") and our Privacy Policy below.
If you do not agree to these Terms, you must immediately stop using the Platform. These Terms constitute a legally binding agreement between you and Esohor.
---
### 2. About Esohor & Platform Scope
Esohor is a multi-purpose digital platform currently offering:
- **Social features:** posting, commenting, sharing, voting, and community participation.
- **E-commerce features:** buying and selling products between users.
Esohor intends to expand into additional services including but not limited to education, job listings, and professional appointment bookings (doctors, lawyers, and similar professions). These upcoming and existing features will be governed by these Terms unless separate terms are introduced.
**Early-Stage Platform Disclaimer:** Esohor is currently in an early stage of development. The Platform may contain bugs, errors, incomplete features, or unexpected behavior. By using Esohor, you expressly acknowledge and accept this. **Esohor shall not be liable for any loss, damage, data loss, missed opportunity, financial loss, or any other harm arising from such errors or bugs.**
Esohor's liability is strictly limited to claims arising from transactions conducted through "esohor official" badged WebPlaces, and to mediated transactions as expressly provided under Section 7A. In the case of "esohor official" badged WebPlaces, Esohor's total liability shall not exceed the value of the single most recent completed purchase made by the claimant on that WebPlace prior to the date of the claim. In the case of mediated transactions under Section 7A, Esohor's total liability shall not exceed the total value of the payment held for that specific transaction. Esohor shall have no liability whatsoever for any claim arising outside of these two categories. Any claim must be verified as directly caused by Esohor's fault, as established by a competent court of jurisdiction, or as Esohor may acknowledge in writing.
---
### 3. The WebPlace — Your Account & Identity on Esohor
On Esohor, every account is a **WebPlace**. A WebPlace is your identity, presence, and the means through which all activity on the Platform occurs. It functions similarly to a social page but extends further — it is your storefront, your profile, your community hub, and your professional presence, all in one.
There is no meaningful distinction between a "user" and their WebPlace — everything you do on Esohor is done through your WebPlace. Your username is also tied to your WebPlace.
#### 3.1 WebPlace Names & Usernames
- Your WebPlace name and username must not strictly mimic, impersonate, or create confusion with any legally registered individual, business, brand, trademark, or institution.
- Esohor reserves the right to rename, suspend, or reclaim any WebPlace name or username at any time, without prior notice, if it determines — at its sole discretion — that the name violates these Terms or is otherwise inappropriate.
- You may voluntarily request a WebPlace name or username change at any time. Such requests are subject to a fee as specified in the applicable fee schedule published on the Platform at the time of the request.
#### 3.2 WebPlace Verification
- A WebPlace may be verified as an individual identity using a valid National Identity Document (NID).
- A WebPlace representing a business, organization, or institution may be verified by submitting the necessary registration documents as required by Esohor.
- Verification is at Esohor's discretion and does not guarantee any particular status or benefit beyond what is explicitly stated.
- Verification may be subject to a yearly renewal fee. The applicable fee, if any, will be communicated during the verification process. Failure to renew may result in the removal of verified status.
#### 3.3 "Esohor Official" Badge
The **"esohor official"** badge is assigned exclusively by Esohor's own authority — that is, the owners and operators of Esohor — to WebPlaces that are directly owned, operated, and controlled by Esohor itself. An "esohor official" badged WebPlace is a sister concern or direct operational arm of Esohor, not a third-party seller or user. No user may apply for, purchase, or otherwise obtain this badge. Esohor reserves the right to assign, revoke, or modify the "esohor official" designation at any time at its sole discretion.
---
### 4. Eligibility & Account Creation
#### 4.1 Age & Parental Responsibility
There is no minimum age requirement to create a WebPlace on Esohor. However, users under the age of 18 must have obtained the prior consent of a parent or legal guardian before creating an account or using the Platform. By creating an account, you represent that you meet this eligibility requirement and, if a minor, that you have obtained the required parental or guardian consent.
**Esohor does not and cannot independently verify the age of users or the existence of parental consent.** If false or inaccurate information is provided regarding age or consent, Esohor bears no liability whatsoever for any consequence arising from such misrepresentation. **It is the sole responsibility of parents and legal guardians to monitor and control their minor children's access to and use of the Platform.** Esohor expressly disclaims all liability for any harm, damage, or loss arising from a minor's use of the Platform where parental consent was not in fact obtained, or where a user misrepresented their age or consent status.
#### 4.2 Registration
To create a WebPlace, a valid email address is required. An OTP (One-Time Password) will be sent to your email for verification. You are responsible for maintaining the security of your email account.
#### 4.3 Accuracy
You agree to provide accurate, complete, and up-to-date information when creating your account and at all times thereafter. Providing false or misleading information — including but not limited to misrepresentation of age or parental consent — may result in immediate suspension or termination of your WebPlace, and Esohor shall bear no liability for any consequence arising from such misrepresentation.
---
### 5. Esohor's Authority Over Accounts & Platform
Esohor reserves the right, at its sole discretion and without any prior notice or obligation to provide reasons, to:
- Delete, restrict, lock, ban, or suspend any WebPlace or content that violates these Terms or applicable law.
- Rename or reclaim any WebPlace name or username that violates these Terms.
- Limit or remove any feature, privilege, or access associated with your WebPlace.
- Take any other action Esohor deems necessary to protect the Platform, its users, or to comply with applicable law.
**Esohor does not edit, alter, or manipulate the content of your posts, comments, or votes.** Your posts, comments, and votes are solely your own expression. Esohor's authority is limited to removal, restriction, or moderation of content — not modification of its substance.
You acknowledge and accept that Esohor may exercise any of the above at any time for any reason, including reasons not explicitly listed here.
---
### 6. Content Rules & Acceptable Use
By using Esohor, you agree not to post, share, upload, transmit, or otherwise make available any content that:
- Is illegal under the laws of Bangladesh or any applicable jurisdiction.
- Contains pornography, explicit sexual content, or adult material of any kind.
- Promotes, glorifies, or incites hate speech, discrimination, or violence against any individual or group.
- Harasses, threatens, or intimidates any person.
- Infringes upon any copyright, trademark, trade secret, or other intellectual property right.
- Contains malware, viruses, or any harmful code.
- Is fraudulent, deceptive, or misleading.
- Violates the privacy of others.
- Is generated or distributed through bots, scrapers, or any automated means without Esohor's prior written consent.
- Is otherwise objectionable, as determined by Esohor at its sole discretion.
Esohor reserves the right to remove, hide, restrict, lock, or take any action regarding any content at any time, without prior notice, for any reason including but not limited to the rules above.
#### 6.1 Content Ownership & License to Esohor
You retain ownership of the original content you post on Esohor. However, by posting any content on the Platform — including but not limited to posts, comments, images, product listings, and any other material — you grant Esohor a **perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license** to use, reproduce, distribute, display, modify, adapt, publish, and create derivative works from that content, in any medium, for the purposes of operating, maintaining, and improving the Platform.
Where Esohor intends to use your content for commercial purposes beyond the ordinary operation of the Platform — including but not limited to advertising, promotional campaigns, or third-party partnerships — Esohor will make reasonable efforts to notify you of such use in advance. Such notification may be made via email, in-app notification, or a published notice on the Platform.
This license continues even if you delete your content or your account. Esohor's right to use content already incorporated into Platform operations, archives, or records is not affected by deletion.
You represent and warrant that you have the right to grant this license for any content you post.
#### 6.2 Esohor's Intellectual Property
All trademarks, logos, brand names, platform design, source code, and other intellectual property belonging to Esohor are the exclusive property of Esohor. You may not use, reproduce, or imitate any of Esohor's intellectual property without prior written permission.
---
### 7. E-Commerce — Buying & Selling
#### 7.1 Nature of Transactions
Esohor facilitates connections between buyers and sellers. Unless a transaction is explicitly marked with the **"esohor official"** badge — in which case the transaction is conducted on a WebPlace directly owned and operated by Esohor — Esohor is not a party to any transaction between users. For all non-official transactions, all agreements regarding price, delivery, and terms are solely between the buyer and seller directly, and Esohor bears no responsibility or liability for such agreements or their outcomes. Notwithstanding the foregoing, where a transaction on a third-party WebPlace is conducted through Esohor's designated payment mechanism, Section 7A shall apply.
#### 7.2 Payment
Currently, payments are processed via **bKash** (manual). Payment coordination is handled directly between buyer and seller through their own means of communication. This process is temporary and will be replaced by an integrated payment system in a future update. Esohor intends to integrate SSLCommerz and other payment gateways in the future. Esohor does not guarantee or mediate payments made outside of Esohor's official payment mechanism, and bears no liability for any loss arising from payment arrangements made directly between users.
A processing fee may be deducted from transactions. The applicable fee depends on the nature of the deal and will be communicated where applicable.
#### 7.3 Shipping & Transportation Costs
The buyer is responsible for paying transportation/shipping costs when purchasing a product. If a product is returned, the buyer is also responsible for the return shipping cost, except in the cases described in Section 7.5.
#### 7.4 Returns — Time Limit
To be eligible for a return or refund, the buyer must inform the seller within **48 hours of delivery** of the product using the seller's contact information. Failure to notify the seller within this window may forfeit the buyer's right to a return or refund. An automated returns and claims system is planned for the future.
#### 7.5 Refunds — Damaged or Wrong Items
If a product arrives damaged or the wrong item is delivered, the buyer is entitled to a **full refund including the original shipping cost.** This refund will be processed after a thorough examination and verification of the claim by Esohor. Refunds are issued to the buyer's registered bKash account.
For all other returns, the buyer bears the transportation cost for both the return and any reshipment.
#### 7.6 Third-Party Marketers & Commissions
Esohor may operate commission-based marketing programs. If a purchase is made through a third-party marketer, the specific amount or details of any commission earned by that marketer will not be disclosed to the purchasing user. The existence of commission-based arrangements may be disclosed where required by applicable law. Esohor holds full authority to restrict, modify, suspend, or terminate any commission-based arrangement with any marketer at any time, without notice or liability.
---
### 7A. Esohor-Mediated Transactions (Third-Party WebPlaces)
#### 7A.1 Overview
Where a transaction between users on a third-party WebPlace is conducted through Esohor's official payment mechanism, Esohor will act as a neutral payment intermediary. In such cases, Esohor will hold the payment on behalf of both parties, maintain accounting records for the transaction, and release funds to the appropriate party upon successful completion of the agreed sale, service, or other arrangement.
This mediation applies exclusively to transactions processed through Esohor's designated payment mechanism. Transactions settled outside of this mechanism remain solely between the buyer and seller, and Esohor bears no responsibility or liability for their outcome, as stated in Section 7.1.
#### 7A.2 How It Works
1. **Payment Initiation:** The buyer submits payment through Esohor's official payment mechanism. Esohor receives and holds the payment in trust on behalf of both parties.
2. **Accounting Entry:** Upon receipt of payment, Esohor records the transaction in its accounting system, creating entries for both the payer and the recipient.
3. **Completion & Handover:** Upon confirmed successful handover of the product, or confirmed completion of the service or agreed arrangement — as determined by Esohor based on available information — the buyer protection window described in Section 7A.3 begins. Funds become eligible for seller withdrawal only after this window has elapsed without a valid claim.
#### 7A.3 Buyer Protection Window & Right to Claim
The buyer retains the right to raise a claim or request a refund within **three (3) days** of confirmed successful handover of the product or completion of the service. To do so, the buyer must contact Esohor at **contact@esohor.com** within this window, clearly stating the grounds for the claim.
Once the three (3) day window expires without a valid claim being raised, the transaction is considered complete and the held funds become available for the seller or service provider to withdraw. No claims will be entertained after this window has elapsed, except at Esohor's sole discretion in exceptional circumstances.
#### 7A.4 Seller Withdrawal
Following the expiry of the buyer protection window under Section 7A.3 without a valid claim, the seller or service provider may request withdrawal of their available balance. Withdrawal requests may take up to **five (5) business days** to process and disburse. Esohor reserves the right to delay disbursement if a claim, dispute, or investigation relating to that transaction is ongoing at the time of the request.
#### 7A.5 Claim Verification Process
Upon receiving a claim within the buyer protection window, Esohor will:
- Review the original agreement, listing, or service specification as provided on the Platform.
- Examine any supporting evidence submitted by either party, including but not limited to communications, receipts, photographs, or proof of delivery or completion.
- Take any additional steps Esohor deems necessary to assess the validity of the claim.
Esohor's determination following this review shall be final and binding on both parties for the purposes of fund release. Esohor acts solely as a neutral payment intermediary in this process and not as an arbitrator, mediator, or legal authority. Esohor makes no guarantee of any particular outcome.
Approved refunds will be processed and returned to the buyer's registered payment account within **five (5) business days** of the claim being resolved in the buyer's favor.
#### 7A.6 Applicable Charges
Esohor-mediated transactions may be subject to a processing or intermediary fee. The applicable charge, if any, will be communicated to the relevant parties at the time of the transaction or as published in the applicable fee schedule on the Platform. Esohor reserves the right to deduct applicable charges from the held amount prior to disbursement.
#### 7A.7 Limitation of Liability
Esohor's role in mediated transactions under this Section is strictly that of a payment intermediary. Esohor does not guarantee the quality, legality, accuracy, or fulfillment of any product, service, or arrangement between users. In the event of a dispute, Esohor will make reasonable efforts to assess the claim fairly based on available information, but its total liability in connection with any single mediated transaction shall not exceed the total value of the payment held for that specific transaction. Once held funds have been disbursed to the seller or service provider following the expiry of the buyer protection window under Section 7A.3, Esohor's intermediary role is considered fulfilled and Esohor shall bear no further liability in connection with that transaction. Esohor shall not be liable for any indirect, incidental, consequential, or punitive losses arising from or in connection with a mediated transaction.
---
### 8. Managing Your Content
- You may delete your posts and comments at any time. If other users have commented on your post, the post content may be removed but dependent content (such as others' comments) may be retained in a dissociated form.
- Your posts and comments may be edited by you at any time.
- You may delete your WebPlace at any time (see Section 10 — Account Deletion).
#### 8.1 Complaints & Reporting
**Complaints regarding another user's content** — including but not limited to illegal content, prohibited material, hate speech, or content that otherwise violates these Terms — may be submitted at any time. There is no time limit for reporting content that remains visible or accessible on the Platform. Esohor retains full discretion to act on any such report, including taking no action, regardless of when it is submitted.
**Complaints regarding incidents that directly affect you personally** — including but not limited to abuse, threats, harassment, delivery disputes, or service-related problems — must be submitted within **five (5) business days** of the incident occurring or becoming known to you. Complaints submitted after this window may not be actionable, though Esohor retains full discretion to act on any report regardless of timing if it deems the matter sufficiently serious.
---
### 9. Security & Administrative Access
- All passwords on Esohor are stored in hashed form. Esohor does not have access to your plain-text password and cannot recover it. If you lose your password, use the password reset feature.
- **Chat and messages on Esohor are not end-to-end encrypted.** Do not share sensitive information through the Platform's messaging features.
- Esohor's global/super administrators have access to all data on the Platform, including the content of private WebPlaces. This access is exercised only where there is a report or reasonable suspicion of illegal activity, for the purpose of enforcing applicable laws, investigating such activity, and maintaining Platform safety.
---
### 10. Account Deletion & User Rights
You may delete your WebPlace at any time by using the account deletion feature or by contacting us at **contact@esohor.com**.
**Account deletion is not immediate.** A deletion request — including requests to remove submitted legal documents such as National ID (NID), business registration documents, or any other identity or verification documents — will take effect after **ten (10) business days** from the date of the request. This waiting period exists to protect against unlawful account activity, to allow pending transactions or disputes to be resolved, and to preserve the ability to trace account activity if required by law enforcement or legal process during that window. During this period your WebPlace will remain accessible but will be scheduled for deletion.
**If, at any point during or after the submission of a deletion request, Esohor identifies or receives a report of any misconduct, violation of these Terms, illegal activity, unresolved dispute, pending transaction, or any matter requiring investigation in connection with your WebPlace, the deletion of your account — and the removal of any associated data or documents — will be suspended until the relevant matter is fully resolved to Esohor's satisfaction.** The ten (10) business day period shall not begin, or shall be paused if already running, for the duration of any such investigation or resolution process. Esohor shall not be liable for any delay in account deletion arising from such circumstances.
Upon deletion becoming effective:
- All personal and analytically identifiable information directly associated with your account will be permanently deleted from Esohor's systems, including submitted legal and identity documents.
- Certain data that is necessary to maintain the integrity of records that other users may rely upon — such as transaction invoices, purchase receipts, posts others have commented on, or content transferred to you by another user — will be **retained but permanently dissociated from your personally identifiable information.** Such records will continue to exist to support the other party's legitimate records but will no longer be linked to you in any identifiable way.
- **All points, balances, credits, accounting entries, rewards, or any other Esohor-related perks or monetary value associated with your WebPlace will be permanently forfeited and irrevocably transferred to Esohor upon deletion becoming effective. Esohor shall have sole and absolute discretion over the use, allocation, or disposal of any such forfeited amounts and shall bear no obligation to account for or return them to the user under any circumstances.**
**Important Notice Regarding Withdrawal Before Deletion:** You are strongly advised to withdraw any available balance from your WebPlace before submitting a deletion request. Withdrawal of your available balance is subject to the minimum cash-out limit applicable to your account at the time of the request, as published in the applicable fee schedule or communicated through the Platform. **If your available balance does not meet the minimum cash-out limit at the time of deletion, that balance cannot be withdrawn and will be permanently forfeited to Esohor upon deletion becoming effective.** Esohor shall bear no liability for any balance forfeited as a result of the user's failure to withdraw prior to deletion or due to the balance falling below the minimum cash-out threshold.
This approach ensures a seller's sale records or another user's receipt remains intact, while your personal identity is fully removed from our systems.
For any requests or assistance, contact: **contact@esohor.com**
---
### 11. Suspension & Termination by Esohor
Esohor may suspend, restrict, or permanently terminate any WebPlace at any time, without prior notice, for reasons including but not limited to:
- Fraud or attempted fraud.
- Abusive behavior toward other users or Esohor staff.
- Violation of any provision of these Terms.
- Any conduct that Esohor, at its sole discretion, considers harmful to the Platform or its users.
No compensation or refund will be owed to a user whose account is terminated for violations of these Terms. Upon termination, all points, balances, credits, accounting entries, rewards, or any other Esohor-related perks or monetary value associated with the terminated WebPlace shall be permanently forfeited and irrevocably transferred to Esohor. Esohor shall have sole and absolute discretion over the use, allocation, or disposal of any such forfeited amounts and shall bear no obligation whatsoever to return or account for them.
---
### 12. Indemnification
You agree to indemnify, defend, and hold harmless Esohor, its owners, officers, representatives, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of or access to the Platform.
- Your content, including any claim that your content infringes, misappropriates, or violates any third-party right, including intellectual property rights, privacy rights, or applicable law.
- Your violation of any provision of these Terms.
- Your misrepresentation of age, identity, parental consent, or any other information provided to Esohor.
- Any transaction or interaction you conduct with another user on the Platform.
Esohor reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with Esohor in the defense of any such claim.
---
### 13. Disclaimers & Limitation of Liability
- Esohor provides the Platform on an **"as is" and "as available" basis** without warranties, express or implied.
- Esohor does not guarantee uninterrupted, error-free, or secure access to the Platform.
- Esohor is not responsible for the actions, content, or conduct of any user, third-party service, or external link.
- Esohor is not a party to any transaction between buyers and sellers on non-official WebPlaces and is not liable for any dispute arising from such transactions, except where Esohor acts as a payment intermediary under Section 7A. However, WebPlaces bearing the official **"esohor official"** badge are directly owned and operated by Esohor, and transactions conducted through such WebPlaces are subject to Esohor's direct responsibility.
- **To the maximum extent permitted by applicable law, Esohor's total liability for any claim arising from an "esohor official" badged WebPlace shall not exceed the value of the single most recent completed purchase made by the claimant on that WebPlace prior to the date of the claim.** Esohor shall have no liability whatsoever for any claim arising outside of "esohor official" badged WebPlaces, save as expressly provided under Section 7A.
- Esohor shall not be liable for any indirect, incidental, special, consequential, or punitive damages under any circumstances.
- Esohor is not liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, government action, internet outages, or third-party service failures.
---
### 14. Dispute Resolution
In the event of any dispute arising from or relating to these Terms or the Platform, both parties agree to first attempt resolution through good-faith informal negotiation for a period of at least fifteen (15) business days before initiating any formal legal proceeding.
---
### 15. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of **Bangladesh**. Any disputes arising from or relating to these Terms or the Platform that cannot be resolved informally shall be subject to the exclusive jurisdiction of the competent courts of Tangail, Bangladesh.
All users — including users located outside of Bangladesh — agree that disputes shall be governed exclusively by the laws of Bangladesh and resolved solely in the courts of Tangail, Bangladesh, regardless of any conflict of law principles or rules that might otherwise apply. By using the Platform, international users expressly consent to this jurisdiction.

- **Account Deletion:** You may request deletion of your account and personal data at any time by emailing **contact@esohor.com** (in-platform deletion will be available in a future update). Deletion requests, including requests for removal of submitted legal and identity documents (National ID (NID), business documents, etc.), take effect after **ten (10) business days** from the date of the request. This period exists to prevent unlawful activity, resolve any pending matters, and preserve necessary traceability. Once effective, all personal data and data that can identify you will be permanently removed. Certain records structurally necessary to support other users' legitimate records (such as transaction receipts and invoices) will be retained but permanently dissociated from your personally identifiable information, so they can no longer be used to identify you. **If any misconduct, Terms violation, illegal activity, unresolved dispute, or pending matter requiring investigation is identified in connection with your WebPlace at any point during or after submission of a deletion request, the deletion and removal of all associated data and documents will be suspended until the matter is fully resolved to Esohor's satisfaction. The ten (10) business day period shall not begin, or shall be paused if already running, for the duration of any such process. Esohor shall not be liable for any resulting delay.** Upon deletion becoming effective, all points, balances, credits, accounting entries, rewards, or any other Esohor-related perks or monetary value associated with your WebPlace will be permanently forfeited to Esohor. You are strongly advised to withdraw any available balance before submitting a deletion request. Withdrawal is only possible if your balance meets the applicable minimum cash-out limit; balances below this threshold cannot be withdrawn and will be forfeited upon deletion. Esohor bears no liability for any forfeited balance.
